These terms explain what clients receive, how source-code licenses work, and which rights remain protected before work or a purchase begins.
Agreement to these terms
These Terms & Conditions apply to ready-made products, source-code licenses, custom projects, setup, hosting, maintenance, consultation, and related services provided by Northkind Studio (Northkind, we, us).
You accept the applicable terms when you confirm an order through WhatsApp or email, approve a quotation or proposal, pay an invoice or deposit, sign an agreement, or accept delivery. Merely viewing a portfolio or demo does not create a purchase agreement.
Product and source-code license
Unless a signed agreement expressly says otherwise, purchasing a Northkind product grants one purchasing legal organization a non-exclusive, perpetual, non-transferable license to use the selected product or edition for its own internal operations. A license grants usage rights. It does not transfer Northkind's copyright or product ownership.
The purchasing organization owns its own business data, uploaded content, trademarks, company name, and logo. Third-party and open-source components remain subject to their respective licenses.
- Internal use by the purchasing organization and its authorized personnel is allowed.
- Reasonable backups and internal modifications are allowed when the purchased package includes full source code.
- Use by another legal entity, affiliate, client, franchise, or production deployment requires written approval or an additional license unless expressly included.
No resale or redistribution
The buyer may not sell, sublicense, rent, publish, upload, distribute, give away, or otherwise make the product, source code, database structure, design assets, documentation, or access credentials available to another party.
- Do not use the source code to create a competing template, product, software-as-a-service offering, or resale business.
- Do not copy portfolio visuals, interface designs, product copy, or protected assets for commercial distribution.
- A reseller, white-label distribution, multi-client, or franchise right exists only under a separate written agreement signed by Northkind.
Product scope and customization
The product page, selected edition, written quotation, and invoice define what is included. If they differ, the most recent written quotation or signed agreement controls. Rebranding, hosting, domain, maintenance, integrations, hardware, and customization are included only when stated.
New features, visual redesign, theme changes, migrations, third-party subscriptions, additional deployments, and work outside the agreed scope are quoted separately.
Custom project engagements
Every custom project follows its approved proposal, scope, milestones, revision allowance, timeline, payment schedule, and acceptance criteria. Requests outside that scope may change the fee and delivery date after written approval.
The client is responsible for timely feedback, accurate requirements, lawful content, account access, and materials needed for delivery. Delays from the client or third parties may move the timeline.
Project intellectual property
After full payment, the client receives the rights expressly listed in the proposal or agreement for the final approved deliverables. The client's pre-existing content and trademarks remain theirs.
Northkind retains its pre-existing code, reusable components, development methods, tools, concepts not selected, generic know-how, and product foundations unless a written agreement expressly transfers them. Source-code delivery does not automatically include resale or redistribution rights.
Northkind may display public, non-confidential deliverables in its portfolio and marketing unless an NDA or written confidentiality agreement says otherwise.
Pricing, payment, and cancellation
Prices are stated in Indonesian rupiah unless noted otherwise. Taxes, payment fees, subscriptions, infrastructure, and third-party costs are excluded unless expressly included. Work begins after the required confirmation and payment are received.
Payments for completed work, reserved production time, activated licenses, registered domains, and incurred third-party costs are generally non-refundable, except where required by applicable law or agreed in writing. Cancellation terms for a custom project follow its proposal.
Delivery, acceptance, and maintenance
A deliverable is considered accepted when the client approves it in writing, uses it in production, or does not report a material in-scope issue within the review period stated in the proposal or handover note.
Included maintenance covers reproducible minor bugs within the delivered and agreed scope for the stated period. It does not include new features, redesign, changes caused by third parties, unsupported modifications, misuse, compromised credentials, infrastructure failure, or data recovery unless agreed separately.
Hosting, domains, and third parties
Hosting, domains, payment gateways, email, messaging, maps, biometric devices, and other third-party services are governed by their providers. Northkind may assist with setup but cannot guarantee third-party availability, approval, pricing, or policy continuity.
The client is responsible for renewals after any included hosting or domain period ends, unless a new managed-service agreement is purchased.
Data, privacy, and security
Personal data is handled according to our Privacy & Product Policy and any project-specific data-processing agreement. For client-operated systems, the client is responsible for having a lawful basis, notices, permissions, retention rules, and security procedures for the personal data it controls.
No internet-connected system can be guaranteed completely secure. Each party must protect credentials, limit access, keep lawful backups, and promptly report suspected incidents.
Warranties and limitation of liability
Northkind will provide the product or service with reasonable professional care and according to the agreed scope. Unless expressly promised in writing, we do not guarantee uninterrupted operation, a particular business result, regulatory certification, or compatibility with every future third-party change.
To the fullest extent allowed by law, Northkind is not liable for indirect or consequential losses, lost profits, or losses caused by misuse, unauthorized modifications, client content, third parties, or events outside reasonable control. Northkind's aggregate liability for a claim is limited to the amount paid for the affected product or project. Nothing here removes rights that cannot lawfully be excluded.
Breach, governing law, and changes
A material breach, including unauthorized resale, redistribution, credential sharing, or non-payment, may result in suspension of support, hosted access, delivery, or the affected license after written notice and a reasonable opportunity to cure when appropriate. Northkind may act immediately when necessary to protect systems, data, or intellectual property.
These terms are governed by the laws of the Republic of Indonesia. The parties will first attempt to resolve disputes in good faith through discussion before using the competent dispute-resolution forum under Indonesian law.
We may update these terms for future orders. The version accepted when an order or project is confirmed continues to govern that transaction unless both parties agree otherwise in writing.
